The following Terms and Conditions (“T&C”) govern your access to and use of Shodagor.com (the “Site”) OWNED AND OPERATED BY SCHOPE LIMITED, including any content, functionality and services offered.Please read these T&C carefully before you start using this Site.

By clicking THE “Agree” button you agree to be bound by these T&C at all times. You hereby undertake, warrant, agree and/or understand that:-

1. Registration

1.0 In order to access the Services offered by the Site, all users are required to create an account and register on the Site with relevant information as outlined in 1.2.

1.1 The relevant information required to register (“Registration Information”) are as follows:

• For individuals and sole proprietors – Full Name, Address, Photo, Active Mobile Number, Email Address, National Identification Card/Passport, TIN and valid Trade License.

• For Companies: Incorporation Certificate, Memorandum and Articles of Association, valid Trade License, TIN and BIN/VAT.

• You hold the relevant authority and licenses (as applicable) to sell the products;

1.3 All the information provided by you are complete and accurate at all times. This information will be held and used by the Site in accordance with our Privacy Policy, which can be found at [https://shodagor.com/terms-and-conditions/] (“Privacy Policy”).

1.4 Upon clicking accept and completing registration with Shodagor.com, you are entering into a binding contract with SCHOPE Limited, the legal entity of Shodagor.com – a registered company incorporated in Bangladesh under the Companies Act 1994.

1.5 The contract arising between you and SCHOPE Limited, the legal entity of Shodagor.com, under this T&C shall be governed by the laws of Bangladesh.

1.6 You agree to use the Site and its Services solely for conducting your own business or trade.

1.7 By registering with the Site you agree to abide by the T&C at all times, not abuse the Site in any way, and not access or use the Site using any automated software.

1.8 You are responsible for safeguarding your password and the use of this Site under your credentials at all times.

1.9 Attempts to breach security of the Site on any computer or mobile network or access an account that does not belong to you on the Site is strictly prohibited. You shall immediately notify Shodagor.com if you discover or otherwise suspect any security breaches related to the Services or your account.

1.10 To prevent fraud or abuse, only one registered account is allowed. Any attempt to create additional account shall be invalid.

1.11 The Site is not liable for any technical glitches beyond the Site’s control at all times.

1.12 The Site reserves the right in their absolute discretion to remove, reject or modify any User Content posted or displayed on the Site that it reasonably believe is unlawful or violates any of the Terms, could subject the Site or its affiliates to any liability, or is considered inappropriate in the opinion of Shodagor.com.

2. Terms of Use

2.1 com is an e-marketplace which connects buyers and sellers of products, whereby the users can offer for sale (on wholesale or retail basis) and manage, conclude and fulfil orders via the Site.

2.2 The Site does not make any representation or warranty of the quality, value, saleability, etc. of the products or services listed to be sold on the Site and accepts no liability for any errors or omissions.

2.3 The Site is not responsible for unsatisfactory or delayed performance of services or damages or delays as a result of products which are out of stock, unavailable or back ordered.

2.4 It is your sole responsibility to provide accurate description, full price, delivery charges, ensuring availability, terms of product returns and refunds, including handling of the same of the products on the Site. It is your responsibility to ensure that the products sold through the Site are exactly in accordance with the product description mentioned on the Site, genuine and free from manufacturing defects and does not infringe any Third Party Rights including copyright, design, trademark or any other Intellectual Property rights of third parties in any jurisdiction. You agree that the Site is not responsible for the description of your service/s or anything associated thereto.

2.6 All business transactions shall be conducted over the Site shall be done in good faith; and that the Site or its services shall not be used defrauding any individual or entity, including but not limited to selling stolen, defective, counterfeit, illegal or inappropriate items;

2.7 No stolen or misappropriated credit/debit cards or bkash number/accounts shall be used to make/receive payments on the Site;

2.8 Not use the Site to engage in business activities which are similar or identical to, or may compete directly or indirectly with Shodagor.com’s e-commerce marketplace;

2.9 Not engage in any activity/ies that may create any liability for the Site.

2.10 To hold Shodagor.com harmless from any liability arising out of their actions or omissions and reimburse the Site for the same.

2.11 The content that you submit, post or display on the Site is true, accurate, complete and in accordance with the laws of Bangladesh; and in no way false, misleading or deceptive; does not contain information that is defamatory, discriminatory or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age, harassing, obscene, objectionable, offensive or harmful to any person/s; and that you are solely responsible and liable for the same.

3. Order Placing, Processing and Delivery Service

3.1 Specify the minimum order quantity for each order.

3.2 Order shall be responded to within 24 hours. The customer care team of Shodagor.com will monitor the status of the order through their master dashboard. In case of non-responsiveness for 24 hours, the Site shall directly contact you regarding the placement of the order.

3.3 Failure to meet the stipulated delivery time will allow the Client to cancel the order or mark the order as late which may in turn harm your status.

3.4 You shall gain account statuses based on your performance, frequency and ratings which shall be determined based on the order ratings posted by the Buyer. You shall not request a Buyer for a rating.

3.5 The Site is not responsible for any consequence arising as a result of any act or omission of delivery service providers.

3.6 The Site may provide delivery services. Users who agree to avail the Site’s delivery service provided shall be charged a delivery fee of Tk. [depends on order quantity, delivery location & product categories.

4. Product Pricing, Payments and VAT

4.1 The prices for products displayed on the Site are at your sole responsibility and discretion.

4.2 All prices shall be in Bangladeshi Taka (BDT) and shall be inclusive of VAT. Price mentioned at checkout will always reflect the most recent price of the product.

4.3 You are responsible for the payment of all applicable value-added taxes (VAT) of the transaction made through the Site.

4.4 The Site shall charge commission at the rate of [depends on order quantity, Order categories & your required services] on each sale of products which is non-refundable. Disbursements shall be weekly, monthly or otherwise as agreed between SCHOPE and the Seller in writing.

4.5 All payments for the orders shall be processed through the Site’s payment gateway. All financial transactions shall be processed by the Site and be transferred to your account upon delivery of the products to the Buyer and deduction of commission for the Site. Disbursements shall be weekly, monthly or otherwise as agreed between SCHOPE and the Seller in writing.

4.6 For payments of products made at the time of delivery, the Site shall send an invoice at the end of the month specifying the total payment due as commission the sale of products. All invoices must be paid within 10 days of the date of receipt of the invoice.

5. Breach by Users. In the event of breach of T&C, the Site-

5.1 Has the right to take such disciplinary actions as it deems fit, including but not limited to measures such as (i) suspending or terminating the User’s account and any and all accounts found to be related to such account; (ii) restricting, downgrading, suspending or terminating the subscription of, access to, or the use of any of the Service permanently or for such period deemed as appropriate by Shodagor.com; (iii) removing any product listings or other User Content posted by any User or imposing restrictions on the number of products listings or User Content that the User may post; (iv) imposing other restrictions on the User’s use of any features of any Service as Shodagor.com may consider appropriate in its sole discretion; and (v) any other disciplinary or penalising actions as Shodagor.com may deem necessary or appropriate.

5.2 Without limiting the generality of the term, a User would be considered as being in breach of the Terms in the following circumstances:

• Upon receiving complaint, notification or claim from any third party, The Site has reasonable grounds to believe that you have wilfully or materially failed to perform your obligation;
• Where a User has failed to deliver any items ordered or where the items delivered fundamentally fail to meet the terms, description and/or quality outlined in the sale contract;
• The Site has reasonable grounds to suspect that a User has used a stolen credit or debit card;
• The Site has reason to believe that a User is providing false or misleading information in any transaction;
• The Site has reasonable grounds to suspect that any information provided by the User is not up to date, complete, inaccurate or misleading; or
• The Site has reasons to suspect that User’s actions may cause financial loss or civil or criminal liability to Shodagor.com, its affiliates, or any Users.

5.3 The Site reserves the right to cooperate fully with government authorities and/or third parties in the investigation of any suspected criminal or civil wrongdoing.

5.4 To the extent permitted by Bangladesh laws and policies, he Site may disclose the User’s identity, contact information and/or any other information of the User’ accounts, transactions or activities on the Site, if requested by a government or law enforcement body.

5.5 Each User agrees to indemnify The Site, its affiliates, directors, employees, agents and any authorized representatives and to hold them harmless, from any and all damages, losses, claims and liabilities including all legal costs which may arise from their breach of any Terms, submission, posting or display of any User Content, and/or any activities carried out by such User on the Site.

6. Termination

6.1 The Site retains the right to terminate or suspend (temporary/permanent) your account or revoke any or all of your rights granted under these Terms and Conditions. Upon any termination of this Agreement, you shall immediately cease all access to and use of the Site.

6.2 The Site shall, in addition to recourse to any other legal or equitable remedies, may have the immediately revoke all password(s) and account identification issued to you and deny your access to and use of this Site in whole or in part. Termination of this agreement shall not affect the respective rights and obligations (including without limitation, payment obligations) of the parties arising prior to the date of termination. Shodagor.com shall not be liable to you or to any other person as a result of any such suspension or termination.

7. Intellectual Property Rights

7.1 By posting or displaying any information, content or product specifications (“User Content”) on the Site, you grant an irrevocable, perpetual, worldwide, royalty-free and sub-licensable license to the Site to display, transmit, disseminate, reproduce, publish, replicate, modify, translate, and otherwise use any and all of the User Content in any form or media and for any purpose which may be beneficial to the operation of the Site and its Services. You affirm and warrant to that you have all the rights, power and necessary authority to grant the aforementioned license. Shodagor.com shall handle all data in accordance with the data protection laws of Bangladesh.

7.2 You agree that you will not copy, reproduce, download, re-publish, sell, re-sell, distribute or disseminate any information, text, images, graphics, video clips, sound, directories, files, databases or listings etc. that is available on the Site that is not your intellectual property without proper authorization of Shodagor.com.

7.3 You agree that you will not copy, reproduce, replicate, download, compile or otherwise use any aspect of the Site or its Services for the purpose of operating a business that replicates Shodagor.com in violation of its Intellectual Property rights and/or the market goodwill of Shodagor.com.

8. Limitation of Liability

8.1 You acknowledge and undertake that you are accessing the services on the Site and transacting at your own risk and are using your best and prudent judgment before entering into any transactions through the Site. com cannot and does not guarantee or affirm any User’s purported identity and does not take responsibility for any deceitful, misleading or fraudulent acts conducted by any User.

8.2 You acknowledge that you are fully assuming the risks of conducting any purchase and/or sale transactions through the use of the Site or its Services, and that the risks of liability or harm of any kind in connection with activity of any kind relating to products or services that are the subject of transactions on the Site. Such risks shall include, but are not limited to, misrepresentation of products and services, fraudulent schemes, unsatisfactory quality, failure to meet specifications, defective or dangerous products, unlawful products, delay or default in delivery or payment, cost inaccuracies, breach of warranty and/or conditions, breach of contract and transportation accidents. Such risks also include the risks that the manufacture, importation, export, distribution, offer, display, purchase, sale and/or use of products offered or displayed on the Site may violate or may be alleged to violate Third Party Rights, and the risk that you may incur costs of defense or other costs in connection with third parties’ assertion of Third Party Rights. Such risks also include the risks that consumers, other purchasers, end-users of products or others claiming to have suffered injuries or harms relating to products or from their use of such products originally obtained by you as a result of purchase and sale transactions on the Site.

8.3 The Site shall not be liable for any actions or inactions of Buyer nor any breach of conditions, representations or warranties of the products and hereby expressly disclaim and any all responsibility and liability in that regard.

9. Indemnity

9.1 You shall indemnify the Site, its affiliates and their respective officers, directors, agents and employees, from any claim or demand, or actions including reasonable attorney’s fees, made by any third party or penalty imposed due to or arising out of your breach of these Terms and Conditions or any document incorporated by reference, or your violation of any law, rules, regulations or rights of third parties.

9.2 You hereby expressly release the Site, its affiliates and/or any of its officers and representatives from any cost, damage, liability or other consequence of any of the actions/inactions of the sellers or other service providers and specifically waiver any claims or demands that you may have in this behalf under any statute, contract or otherwise.

10. Force Majeure.

10.1 Under no circumstances shall the Site be held liable for any delay or failure or disruption of the content or services delivered through the Site resulting directly or indirectly from acts of God, forces or causes beyond our reasonable control, including without limitation, Internet failures, computer, telecommunications or any other equipment failures, electrical power failures, strikes, labour disputes, riots, insurgencies, civil disturbances, shortages of labour or materials, fires, flood, storms, explosions, war, government actions and interferences, orders of domestic or foreign courts or tribunals or non-performance of Members and/or third parties.

11. Governing laws and jurisdiction.

11.1 >This Agreement shall be governed, construed, interpreted, implemented and performed in accordance with the laws of Bangladesh and you agree to submit to exclusive jurisdiction of the courts of Dhaka.

12. Dispute Resolution.

12.1 The Site encourages amicable settlement and shall mediate in the event of any conflict/s that might arise among Users, which shall be resolved with the assistance or involvement of the Site’s Customer Support services. Upon failure to settle a dispute amicably within 30 days, such dispute shall be referred to arbitration in accordance with the provisions of the Arbitration Act 2001 of Bangladesh.

2.2 The Site does not make any representation or warranty of the quality, value, saleability, etc. of the products or services listed to be sold on the Site and accepts no liability for any errors or omissions.

2.3 The Site is not responsible for unsatisfactory or delayed performance of services or damages or delays as a result of products which are out of stock, unavailable or back-ordered.

2.4 It is your sole responsibility to place orders after carefully reading the product specifications on the Site, to receive delivery of the products and to make payments as per clause 4 herein below.

2.5 All business transactions conducted over the Site shall be done in good faith; and that the Site or its Services shall not be used defrauding any individual or entity;

2.6 No stolen or misappropriated credit/debit cards or bkash number/accounts shall be used to make payments on the Site;

2.7 Not use the Site to engage in business activities which are similar or identical to, or may compete directly or indirectly with Shodagor.com’s e-commerce marketplace;

2.8 Not engage in any activity/ies that may create any liability for Shodagor.com;

2.10 The content that you submit, post or display on the Site is true, accurate, complete and in accordance with the laws of Bangladesh; and in no way false, misleading or deceptive; does not contain information that is defamatory, discriminatory or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age, harassing, obscene, objectionable, offensive or harmful to any person/s; and that you are solely responsible and liable for the same.

3. Order Placing and Processing.

3.1 You shall place order according to the minimum order quantity mentioned on the Site.

3.2 Orders shall be confirmed after the Seller provides acknowledgment and confirmation within 24 hours. The customer care team of Shodagor.com will monitor the status of the order through their master dashboard. In case of non-responsiveness for 48 hours, the Site shall directly contact you regarding the status of the order.

3.3 You may choose to rate the Seller based on their performance, frequency and ratings after the order is marked ‘Delivered’.

3.4 You shall gain account statuses (Levels) based on your performance, frequency and ratings posted by the Seller. You shall not request a Seller for a rating.

4. Product Pricing, Payments and VAT

4.1 The prices for products shall provide all accurate details regarding the breakdown of the price, including the delivery charges of the product.

4.2 All prices shall be in Bangladeshi Taka (BDT) and inclusive of VAT. Price mentioned at checkout will always reflect the most recent price of the product to the Purchasers on the Site.

4.3 The mode of payment shall be cash on delivery, online payment, bank transfer or through credit facilities, as agreed between the parties.

4.4 All payments for the orders shall be processed through the Site’s payment gateway. All financial transactions shall be processed by the Site and transferred to the Seller’s account only after the goods received by the Buyer are in satisfactory condition.

5. Breach by Purchasers. In the event of breach of T&C, the Site-

5.1 Has the right to take such disciplinary actions as it deems fit, including but not limited to measures such as (i) suspending or terminating the Purchaser’s account and any and all accounts found to be related to such account; (ii) restricting, downgrading, suspending or terminating the subscription of, access to, or the use of any of the Service permanently or for such period deemed as appropriate by Shodagor.com; (iii) removing any product listings or other Purchaser Content posted by any Purchaser or imposing restrictions on the number of products listings or Purchaser Content that the Purchaser may post; (iv) imposing other restrictions on the Purchaser’s use of any features of any Service as Shodagor.com may consider appropriate in its sole discretion; and (v) any other disciplinary or penalising actions as Shodagor.com may deem necessary or appropriate.

5.2 Without limiting the generality of the term, a Purchaser would be considered as being in breach of the Terms in the following circumstances:

• Upon receiving complaint, notification or claim from any third party, the Site has reasonable grounds to believe that you have wilfully or materially failed to perform your obligation;
• The Site has reasonable grounds to suspect that a Purchaser has used a stolen credit or debit card;
• The Site has reason to believe that a Purchaser is providing false or misleading information in any transaction;
• The Site has reasonable grounds to suspect that any information provided by the Purchaser is not up to date, complete, inaccurate or misleading; or
• The Site has reasons to suspect that Purchaser’s actions may cause financial loss or civil or criminal liability to Shodagor.com, its affiliates, or any Purchasers.

5.3 The Site reserves the right to cooperate fully with government authorities and/or third parties in the investigation of any suspected criminal or civil wrongdoing.

5.4 To the extent permitted by Bangladesh laws and policies, the Site may disclose the Purchaser’s identity, contact information and/or any other information of the Purchaser’ accounts, transactions or activities on the Site, if requested by a government or law enforcement body.

5.5 Each Purchaser agrees to indemnify the Site, its affiliates, directors, employees, agents and any authorized representatives and to hold them harmless, from any and all damages, losses, claims and liabilities including all legal costs which may arise from their breach of any Terms, submission, posting or display of any Purchaser Content, and/or any activities carried out by such Purchaser on the Site.

6. Termination

6.1 The Site retains the right to terminate or suspend (temporary/permanent) your account or revoke any or all of your rights granted under these T&C. Upon any termination of this Agreement, you shall immediately cease all access to and use of the Site.

6.2 The Site shall, in addition to any other legal or equitable remedies, immediately revoke all password(s) and account identification issued to you and deny your access to and use of this Site in whole or in part. Termination of this agreement shall not affect the respective rights and obligations (including without limitation, payment obligations) of the parties arising prior to the date of termination. Shodagor.Com shall not be liable to you or to any other person as a result of any such suspension or termination.

7. Intellectual Property Rights

7.1 >By posting or displaying any information or content (“Purchaser Content”) on the Site, you grant an irrevocable, perpetual, worldwide, royalty-free and sub-licensable license to the Site to display, transmit, disseminate, reproduce, publish, replicate, modify, translate, and otherwise use any and all of the Purchaser Content in any form or media and for any purpose which may be beneficial to the operation of the Site and its Services. You affirm and warrant that you have all the rights, power and necessary authority to grant the aforementioned license. Shodagor.com shall handle all data in accordance with the data protection laws of Bangladesh.

7.2 You agree that you will not copy, reproduce, download, re-publish, sell, re-sell, distribute or disseminate any information, text, images, graphics, video clips, sound, directories, files, databases or listings etc. that is available on the Site that is not your intellectual property without proper authorization of Shodagor.com.

7.3 You agree that you will not copy, reproduce, replicate, download, compile or otherwise use any aspect of the Site or its Services for the purpose of operating a business that replicates Shodagor.com in violation of the Intellectual Property rights and/or the market goodwill of Shodagor.com.

8. Limitation of Liability

8.1 You acknowledge and undertake that you are accessing the Services on the Site and transacting at your own risk and are using your best and prudent judgment before entering into any transactions through the Site. com cannot and does not guarantee or affirm any User’s identity and does not take responsibility for any deceitful, misleading or fraudulent acts conducted by any Purchaser.

8.2 You acknowledge that you are fully assuming the risks of conducting any purchase and/or sale transactions through the use of the Site or its Services, and that the risks of liability or harm of any kind in connection with activity of any kind relating to products or services that are the subject of transactions on the Site. 8.3 com shall not be liable for any actions or inactions of Sellers nor any breach of conditions, representations or warranties by the Sellers or manufacturers of the products and hereby expressly disclaim any/all responsibility and liability in that regard.

9. Indemnity

9.1 You shall indemnify Shodagor.com, its affiliates and their respective officers, directors, agents and employees, from any claim or demand, or actions including reasonable attorney’s fees, made by any third party or penalty imposed due to or arising out of your breach of these T&C or any document incorporated by reference, or your violation of any law, rules, regulations or rights of third parties.

9.2 You hereby expressly release Shodagor.com, its affiliates and/or any of its officers and representatives from any cost, damage, liability or other consequence of any of the actions/inactions of the Sellers or other service providers and specifically waiver any claims or demands that you may have in this behalf under any statute, contract or otherwise.

10. Force Majeure. Under no circumstances shall Shodagor.com be held liable for any delay or failure or disruption of the content or Services delivered through the Site resulting directly or indirectly from acts of God, forces or causes beyond our reasonable control, including without limitation, Internet failures, computer, telecommunications or any other equipment failures, electrical power failures, strikes, labour disputes, riots, insurgencies, civil disturbances, shortages of labour or materials, fires, flood, storms, explosions, war, government actions and interferences, orders of domestic or foreign courts or tribunals or non-performance of Members and/or third parties.

11. Governing laws and jurisdiction. This Agreement shall be governed, construed, interpreted, implemented and performed in accordance with the laws of Bangladesh and you agree to submit to exclusive jurisdiction of the courts of Dhaka.

12. Dispute Resolution. com encourages amicable settlement and shall mediate in the event of any conflict/s that might arise among the parties, which shall be resolved with the assistance or involvement of Shodagor.com’s Customer Support services. Upon failure to settle a dispute amicably within 30 days, such dispute shall be referred to arbitration in accordance with the provisions of the Arbitration Act 2001 of Bangladesh.
